Terms of Service
Overview
RepLinker is an online platform that connects businesses ("Buyers") with freelance Sales Development Representatives ("Freelancers") for outbound sales services. RepLinker acts as an intermediary platform and is not a party to any agreement between Buyers and Freelancers.
No Employment Relationship
Freelancers using the platform are independent contractors and are not employees, workers, or agents of RepLinker. RepLinker does not control how Freelancers deliver their services.
Platform Role
RepLinker provides access to profiles of Freelancers, facilitates communication between Buyers and Freelancers, and enables payments through third-party providers. RepLinker does not guarantee outcomes, performance, or results from any Freelancer.
User Accounts
Users must provide accurate information, maintain account security, and not share login credentials. RepLinker reserves the right to suspend or terminate accounts at its discretion.
Payments and Fees
Payments are processed via third-party providers such as Stripe. RepLinker may charge platform fees to Buyers and/or Freelancers, hold funds temporarily before release, and deduct fees before payout. Full fee details are displayed on the platform.
Dispute Resolution and Time Limits
Buyers must raise any disputes within 14 days of a project being marked as completed. If no dispute is raised within this period, the transaction will be considered final and no further claims or refunds will be accepted.
In the event of a dispute, Buyers and Freelancers are encouraged to resolve the matter directly. If a resolution cannot be reached, the dispute may be escalated to RepLinker for review. RepLinker will assess the situation and make a final decision based on available evidence, which may include communication history, agreed deliverables, and proof of work completed.
Communication and Off-Platform Conduct
All communication between Buyers and Freelancers must take place through the RepLinker platform. Users are strictly prohibited from exchanging contact details, including phone numbers, email addresses, or any other external communication methods, for the purpose of conducting work outside the platform.
Circumventing the platform to avoid fees or to continue working off-platform is strictly forbidden. Any attempt to bypass the platform may result in immediate suspension or permanent termination of the user's account, and loss of access to future opportunities on RepLinker.
Refund Policy and Booking Fees
Refunds are only considered in cases of clear failure to deliver agreed services or misconduct. Examples may include, but are not limited to:
• Failure to complete agreed work (e.g. significantly fewer calls than agreed) • Consistently poor communication or lack of engagement • Misrepresentation of services or experience • Unethical behaviour such as call manipulation or drop dialing and outsourcing of work to third parties
All refund decisions are made at the sole discretion of RepLinker based on the evidence provided. Any booking or platform fees charged are non-refundable, as they cover platform usage and payment processing.
Freelancer Tax and Legal Responsibility
Freelancers using the platform are independent contractors and are solely responsible for complying with all applicable tax laws, regulations, and reporting requirements in their respective jurisdictions. RepLinker does not provide tax, legal, or financial advice and accepts no responsibility for any obligations relating to income, tax reporting, or business registration.
Freelancers are responsible for determining whether they are required to register as self-employed, operate through a company, or meet any local legal requirements. Users are encouraged to seek independent professional advice where necessary.
Payment Release and Clearing Period
Once a project has been marked as completed, a clearing period of up to 14 days will apply before funds are released to the Freelancer. This period allows time for any disputes to be raised and reviewed.
Following the clearing period, funds will either be released automatically or made available for withdrawal via the platform, subject to payment provider processing times. RepLinker reserves the right to delay or withhold payouts where disputes, suspicious activity, or breaches of these Terms are identified.
Liability
RepLinker is not liable for the quality of services provided by Freelancers, any loss of revenue, data, or business, or any indirect or consequential damages. Use of the platform is at your own risk.
Prohibited Use
Users must not circumvent the platform to avoid fees, use the platform for unlawful purposes, or misrepresent services or experience.
User Responsibility and Due Diligence
Buyers are responsible for selecting Freelancers that best suit their needs. RepLinker provides tools to support this process, including Freelancer profiles, experience, and the ability to communicate prior to engagement.
Buyers are encouraged to carry out their own due diligence and may choose to begin with smaller trial projects before committing to larger engagements. While RepLinker may take steps to assess Freelancer quality, it does not guarantee performance or suitability. The final decision and responsibility for selection rests with the Buyer.
Changes
RepLinker may update these Terms at any time. Continued use of the platform constitutes acceptance.
